Terms of Sale

These Terms of Sale (the "ToS Sale") govern the subscription, payment, renewal, termination and refund of paid subscriptions to the Carousels Generator service, published by Lyten Agency. They supplement the Terms of Service and the Privacy Policy, which remain applicable to any User, whether a consumer or a professional.

1. Scope

These ToS Sale apply to any subscription to a paid plan by any natural person of legal capacity (a "Consumer Customer") or by any legal entity or natural person acting in the course of a professional activity (a "Professional Customer"). Subscription constitutes full and unreserved acceptance of these ToS Sale. The applicable version is the one displayed on the Service on the day of the subscription.

3. Description of Paid Plans

Paid plans offer extended access to AI features, higher Credit quotas, watermark removal, carousel privacy, web search, direct publishing on social networks and tiered priority support. The prices below are synchronized in real time with the rates currently published on the Service pricing page:

  • Starter Plan: €19 incl. tax / month or €190 incl. tax / year, including 150 Credits per month.
  • Pro Plan: €39 incl. tax / month or €390 incl. tax / year, including 500 Credits per month and access to web search and multi-network publishing.
  • Scale Plan: €79 incl. tax / month or €790 incl. tax / year, including 1,500 Credits per month and early access to advanced features.

Detailed and up-to-date features of each plan are listed on the Service pricing page. The Publisher reserves the right to evolve plan composition and pricing, it being specified that no price increase or material reduction will apply to an ongoing subscription without prior notice to the Customer in accordance with article 13.

4. Prices and Taxes

4.1 Currency

Prices are displayed in euros (€). Billing is performed in euros. For Customers located outside the eurozone, the bank charge is performed at the exchange rate applied by the Customer's bank.

4.2 VAT and Taxes

Prices are shown excluding tax (excl. tax) or including tax (incl. tax) depending on the country of residence of the Customer as entered upon payment. Applicable VAT is calculated and collected by our payment provider Lemon Squeezy in its capacity as Merchant of Record, in accordance with local tax rules (in particular OSS/IOSS for B2C sales within the European Union, reverse charge for intra-EU B2B sales upon communication of a valid VAT number).

4.3 Promotions

Occasional promotional offers may be available (for example during marketing campaigns or via partner codes). They only apply to new subscriptions or to the conditions specified during the campaign. The annual period benefits from an indicative discount of approximately seventeen percent (17%) compared to the equivalent monthly rate.

5. Payment

5.1 Payment Provider

Payments are managed by Lemon Squeezy (Lemon Squeezy LLC, United States), acting as Merchant of Record. As such, Lemon Squeezy issues invoices to the Customer, collects amounts due, collects applicable VAT and local taxes, and remits the funds to the Publisher net of its commission. Lemon Squeezy also provides the Customer with a portal to manage subscription and payment methods.

5.2 Accepted Payment Methods

The following are accepted: Visa, Mastercard and American Express credit cards, as well as PayPal, Apple Pay and Google Pay. The Publisher has no access to full banking data: only the last four digits of the card and its network may be displayed for management purposes.

5.3 Security

Lemon Squeezy implements PCI-DSS security standards for payment processing. Communications are encrypted using TLS. The Publisher is not a payment institution and does not store any full banking data on its servers.

5.4 Invoicing

An electronic invoice is issued by Lemon Squeezy upon each payment. It is sent to the Customer by email and is available from the billing portal. The Customer must provide accurate billing information; for Professional Customers, a valid intra-Community VAT number must be provided to apply the reverse-charge regime.

6. Subscription and Confirmation

6.1 Subscription Process

Subscriptions are made online by the Customer, from the Service pricing page or from the Customer's personal space. The Customer selects a plan and a billing period (monthly or annual), enters the required payment information and confirms the order after accepting these ToS Sale.

6.2 Confirmation

Subscription is finally formed upon payment confirmation by Lemon Squeezy. A confirmation is sent to the Customer by email. The corresponding features are activated immediately and the Credits of the plan are allocated to the Account.

7. Tacit Renewal

7.1 Principle

Subscriptions are automatically renewed at the end of each monthly or annual period, unless the Customer terminates before the renewal date in accordance with article 9. The Customer is informed of renewal through communications sent by the Publisher or by Lemon Squeezy.

7.2 Information for Consumer Customers

In accordance with article L.215-1 of the French Consumer Code, Consumer Customers may, when their contract reaches its term, choose not to renew it. Failing termination, the contract is renewed for a new period identical to the previous one.

8. Right of Withdrawal

8.1 For Consumer Customers

In accordance with articles L.221-18 et seq. of the French Consumer Code, the Consumer Customer has fourteen (14) days from the subscription to withdraw, without giving a reason and without bearing any cost other than those provided in articles L.221-23 to L.221-25.

8.2 Waiver of the Right of Withdrawal

By ticking, upon subscription, the box "I accept that the Service starts immediately and I acknowledge losing my right of withdrawal upon full performance of the contract" (article L.221-28 13° of the French Consumer Code), the Consumer Customer authorizes the immediate performance of the Service and loses the right of withdrawal once the Service has been fully performed. However, the Publisher additionally applies the commercial guarantee provided in article 9 below.

8.3 Modalities

To exercise the right of withdrawal, the Consumer Customer notifies the decision by an unambiguous statement to contact@lyten.agency, or by using the model withdrawal form set out in the appendix below. Reimbursement is made within fourteen (14) days from receipt of the request, using the same payment method as the original subscription.

8.4 Professional Customers

In accordance with articles L.221-3 et seq. of the French Consumer Code, Professional Customers subscribing for purposes that fall within their professional activity may benefit from the right of withdrawal where the number of employees is no more than five and the contract does not fall within the scope of their main activity. In other cases, no right of withdrawal applies to Professional Customers.

9. 14-Day "Money-Back" Commercial Guarantee

Independently and in addition to the legal right of withdrawal, the Publisher offers a "Money-Back" commercial guarantee for new subscriptions, under the following cumulative conditions:

  • The refund request is made within fourteen (14) calendar days following the first payment.
  • Less than fifty percent (50%) of the Credits included in the current period have been consumed.
  • The Account is not subject to suspension for breach of the ToS.
  • The request relates only to the first subscription to the relevant plan (renewals and successive upgrades are excluded, save discretionary decision by the Publisher).

Requests are submitted by email to contact@lyten.agency, mentioning the Account identifier and the reason for the request. Reimbursement is processed within fourteen (14) days from acceptance, using the same payment method as the subscription. This commercial guarantee does not replace statutory guarantees, which remain applicable.

10. Plan Change

10.1 Upgrade

The Customer may upgrade at any time from the billing portal. The price difference is invoiced immediately on a pro rata basis for the remaining time and the new Credit quota is applied.

10.2 Downgrade

The Customer may downgrade from the billing portal. The change takes effect at the end of the current period. No refund or credit note is due in respect of the current period.

10.3 Change of Billing Period

Switching from monthly to annual billing (or vice versa) is possible at any time and takes effect according to Lemon Squeezy rules.

11. Payment Default

If a payment fails, several attempts are automatically made by Lemon Squeezy. Failing regularization within fifteen (15) days following the first failure, the subscription may be suspended and then automatically terminated after formal notice having remained without effect. Amounts due remain payable, without prejudice to any late-payment interest and recovery costs.

12. Termination by the Customer

12.1 Modalities

The Customer may terminate the subscription at any time from the Lemon Squeezy billing portal accessible from the personal space, or by sending a request to contact@lyten.agency. Termination takes effect at the end of the current period, at no cost or penalty.

12.2 Effects

Until the end of the current period, access to paid features remains active. At the end of the period, the Account automatically reverts to the Free plan. Unused Credits from the paid plan are not refundable.

12.3 Account Deletion

Subscription termination does not automatically lead to Account deletion. The Customer may, in addition, request Account deletion in accordance with article 20 of the ToS and the Privacy Policy.

13. Service Evolution and Discontinuation

The Publisher reserves the right to evolve the Service, its features, prices and plan composition. Any material modification is notified to the Customer by email at least thirty (30) days before its entry into force. In case of disagreement, the Customer may terminate the subscription with effect on the entry into force of the modifications, at no cost or penalty.

14. After-Sales Service and Complaints

Any complaint may be addressed to contact@lyten.agency. The Publisher endeavors to respond within a reasonable timeframe, in principle less than forty-eight (48) business hours for priority requests under the Pro and Scale plans. Consumer Customers may refer the matter to a consumer mediator in accordance with article L.612-1 of the French Consumer Code, under the conditions set out in article 16 below.

15. Liability

The limitations of liability set out in article 18 of the ToS apply to these ToS Sale. The liability cap, except in cases not legally limitable, may not exceed the total amount actually paid by the Customer during the twelve (12) months preceding the triggering event. The Publisher is not liable for indirect damages (loss of opportunity, loss of business, harm to image, etc.).

16. Mediation, Disputes and Governing Law

16.1 Governing Law

These ToS Sale are governed by French law.

16.2 Consumer Mediation

In accordance with article L.612-1 of the French Consumer Code, the Consumer Customer may, after attempting to resolve the dispute amicably with the Publisher, free of charge refer the matter to a consumer mediator. The list of approved mediators is available on the website of the French Ministry of the Economy: economie.gouv.fr.

16.3 EU Online Dispute Resolution Platform

The European Commission provides consumers with an online dispute resolution platform (Regulation EU No. 524/2013) at: ec.europa.eu/consumers/odr.

16.4 Jurisdiction

Any dispute relating to the formation, performance or termination of the contract shall, failing amicable resolution and subject to the mandatory rules applicable to consumers, be submitted to the courts having jurisdiction within the area of the Paris Court of Appeal.

Appendix - Model Withdrawal Form
